A Limited Liability Company (LLC) is the most popular business structure for small business owners in New Jersey. It combines the liability protection of a corporation with the tax simplicity and management flexibility of a sole proprietorship or partnership. New Jersey LLCs are governed by the Revised Uniform Limited Liability Company Act (N.J.S.A. 42:2C-1 et seq.), which took effect March 18, 2013.
The state filing fee is $125 — significantly less than hiring an attorney to form the LLC for you. With the right documents (Certificate of Formation, Operating Agreement, and EIN application), most business owners can complete the formation process themselves in a few hours.

Limited Personal Liability
As an LLC member, your personal assets (home, car, bank accounts) are generally protected from business debts and lawsuits. Creditors can only reach the LLC's assets — not your personal assets — as long as you maintain proper separation between personal and business finances. This is the primary reason most small business owners choose the LLC structure.
Pass-Through Taxation
By default, a single-member LLC is taxed as a sole proprietorship and a multi-member LLC is taxed as a partnership — both "pass-through" structures where business profits and losses flow directly to the members' personal tax returns. No separate corporate income tax is paid at the entity level. New Jersey LLCs may also elect S-Corp or C-Corp taxation with the IRS for additional planning opportunities.
Flexible Management and Ownership
New Jersey LLCs under the Revised Uniform Limited Liability Company Act (NJSA 42:2C-1 et seq.) offer flexibility in management (member-managed or manager-managed) and ownership structure. How to Form Your New Jersey LLC
Choose and Confirm Your LLC Name
Your LLC name must include "LLC," "L.L.C.," or "Limited Liability Company." It must be distinguishable from all other entities registered in New Jersey. Use the NJ Division of Revenue Business Entity Name Search at njportal.com/DOR/BusinessNameSearch to check name availability before filing. If your preferred name is taken, you may need to add a word that makes it distinguishable (e.g., a location, a descriptor, or a different word). You can also reserve a name for 120 days by filing a Name Reservation application ($50 fee).
Appoint a Registered Agent
Every New Jersey LLC must maintain a registered agent — an individual or company that receives legal documents (lawsuits, subpoenas, government notices) on the LLC's behalf during business hours. The registered agent must have a physical street address in New Jersey (P.O. boxes are not accepted). You can designate yourself or any individual with a NJ street address, or use a professional registered agent service (approximately $50–$150/year). Your registered agent's name and address appear on the Certificate of Formation and are public record.
File the Certificate of Formation with the NJ Division of Revenue
File the Certificate of Formation (Form L-102) with the New Jersey Division of Revenue and Enterprise Services. You can file online at njportal.com/DOR/BusinessFormation or by mail. The filing fee is $125. The Certificate requires: the LLC's name, the registered agent's name and NJ address, the purpose of the LLC (can be "any lawful business purpose"), and the organizer's name and address. Processing time is typically 1–3 business days for online filings and 7–10 business days for mail filings. Expedited processing is available for an additional fee.
Draft the Operating Agreement
An Operating Agreement is not filed with the state, but it is legally important. It establishes: how the LLC is managed (member-managed vs. manager-managed), each member's ownership percentage and capital contributions, how profits and losses are allocated, voting rights and decision-making procedures, what happens if a member wants to leave or sell their interest, and how the LLC will be dissolved. Without an Operating Agreement, the default rules of NJSA 42:2C govern your LLC — which may not reflect your intentions. Single-member LLCs still benefit from an Operating Agreement to maintain the corporate veil.
Obtain an EIN and Register for Taxes
Apply for an EIN (Employer Identification Number) online at IRS.gov at no cost — you receive it immediately. An EIN is required to open a business bank account, hire employees, and file federal business tax returns. If your LLC will sell taxable goods or services in New Jersey, hire employees in NJ, or be subject to NJ withholding tax, you must also register with the NJ Division of Taxation by filing Form NJ-REG (New Jersey Business Registration). NJ-REG registration is free and can be completed online.
File Your Annual Reports and Maintain Compliance
New Jersey LLCs must file an Annual Report with the Division of Revenue to maintain good standing. The annual report fee is $75 and is due by the last day of the anniversary month of the LLC's formation. Failure to file results in the LLC being administratively dissolved. New Jersey also imposes a minimum annual LLC fee of $150, payable with your NJ business tax return regardless of income. Open a separate business bank account immediately after forming the LLC to maintain the separation between personal and business finances that protects your limited liability.
