1. Acceptance of Terms

By creating an account, accessing the platform, or using any part of the Service, you agree to these Terms, our Privacy Policy, and any additional policies we may publish. These Terms constitute a legally binding agreement between you ("you," "your," or "User") and Jurist Diction, Inc. ("Jurist Diction," "we," "us," or "our").

2. Eligibility and Account Requirements

2.1 Professional Use Only

The Service is designed exclusively for licensed attorneys and authorized legal professionals practicing in Tennessee. To use the Service, you must:

• Be a licensed attorney in good standing with the Tennessee Board of Professional Responsibility
• Be at least 18 years of age
• Have authority to enter into these Terms on behalf of yourself or your firm
• Provide accurate, complete, and current registration information

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized use
• Enable multi-factor authentication when available
• Not share your account with others

3. Description of Service

3.1 What We Provide

Jurist Diction provides a legal intelligence platform that includes:

• Legal research tools focused on Tennessee law
• Document automation and template generation
• Tennessee-specific legal content and updates
• Surety bond workflow automation
• Legal maxims and historical context

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription plans (Solo, Professional, Enterprise) with different features and pricing. Current pricing is available at jurist-diction.com/pricing.

4.2 Billing Terms

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file at the beginning of each billing period. If payment fails, we may suspend your access until payment is received.

4.3 Price Changes

We may change our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.4 Refund Policy

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with the Service within the first 30 days, contact us for a full refund. After 30 days, subscriptions are non-refundable, but you may cancel at any time.

5. Data and Intellectual Property

5.1 Your Data

You retain all rights to your data, including client information, research queries, and documents you create or upload. We claim no ownership over your content.

5.2 Our Intellectual Property

The Service, including all software, algorithms, content, designs, trademarks, and other materials, is owned by Jurist Diction and protected by U.S. and international intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or modify any proprietary notices
• Use the Service to create a competing product

5.3 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

6. Acceptable Use Policy

6.1 Prohibited Activities

You may not use the Service to:

• Violate any laws, regulations, or professional conduct rules
• Infringe upon others' intellectual property rights

6.2 Professional Responsibility

7. Service Availability and Modifications

7.1 Uptime and Maintenance

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice and emergency maintenance as needed.

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use.

8. Confidentiality and Attorney-Client Privilege

8.1 Our Commitment

We understand the sensitive nature of legal work and treat all data with strict confidentiality. All data is encrypted, access-controlled, and protected in accordance with our Security Policy.

8.2 No Waiver of Privilege

Use of the Service is not intended to waive attorney-client privilege or work product doctrine. However, you are responsible for ensuring your use complies with all privilege protection requirements.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then, but no refunds are provided for partial months.

9.2 Termination by Us

We may suspend or terminate your access immediately if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security or legal risk

9.3 Effect of Termination

Upon termination, you will lose access to the Service and any data stored on our platform. You should export your data before cancellation. We will retain data for 30 days after termination, then permanently delete it.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Results

We do not guarantee that the Service will meet your specific needs, be error-free, or produce particular results. System-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all research and documents.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURIST DICTION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jurist Diction, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or rights of third parties
• Any content you submit or generate using the Service

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

12.2 Venue

Any disputes shall be resolved in the state or federal courts located in Davidson County, Tennessee. You consent to personal jurisdiction in these courts.

12.3 Arbitration (Optional)

For disputes under $25,000, either party may elect binding arbitration under the rules of the American Arbitration Association in Nashville, Tennessee.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Jurist Diction regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any successor or acquirer.

13.5 Notices

We may provide notices to you via email or through the Service. Notices are deemed received 24 hours after sending.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
